1、Thai Joint-Venture Company
Registering a company in Thailand usually involves:Name reservation → drafting company bylaws and joint-venture agreements → preparing incorporation documents → submitting the registration application → tax registration.Basic requirements include:At least one Thai shareholder must hold 51% of the shares, while foreigners may hold up to 49%.However, actual control can be arranged through joint-venture agreements.
2、Thailand BOI (Board of Investment) Company
Applying for a BOI license:Allows 100% foreign ownership and provides investment incentives.
Benefits of establishing a BOI company:
- 100% foreign shareholding permitted
- Tax incentives, zero import duties, tax exemption for up to 15 years
- Foreigners are allowed to own land with permanent ownership rights
- Foreign technical staff and their families can enter Thailand; visas and work permits can be issued for all family members
- Some industries can freely remit foreign currency overseas
- Standard Thai company employee ratio is 4 Thai : 1 foreigner; BOI companies are exempt from this ratio

3、Thailand FBL (Foreign Business License) Company
The Foreign Business License (FBL) allows foreigners to operate in restricted business sectors in Thailand with 100% foreign ownership.
If a foreign-owned company engages in sectors restricted under Thai foreign investment laws, it must apply for an FBL.
Businesses that normal foreign companies can operate without an FBL:
- Manufacturing and selling industrial (non-agricultural) products
- 100% export businesses
- High-tech industries
- Certain sectors may operate without an FBL if capital requirements are met(e.g., retail business with capital of at least 100 million THB)
Privileges of FBL-licensed companies:
- All business activities allowed for ordinary foreign companies
- Plus the specific restricted activities approved under the FBL
